About Scan & Care

Scan & Care is a software-as-a-service (SaaS) operated by CVP Innovation S.r.l., registered office: Via IV Novembre, 34 – 84084 Fisciano (SA) – Italy, VAT/Company No.: IT06122300657. Support: info@scanandcare.com.

Scope and Eligibility (B2B only)

The Service is offered exclusively to business customers (e.g., manufacturers, authorised representatives, importers, distributors, and other professional users). By using the Service, you confirm that you are 18+ and duly authorised to act on behalf of your organisation.

Customer Content and Regulatory Responsibility

You remain solely responsible for the accuracy, completeness, legality, and regulatory compliance of any Instructions for Use (IFU) and other content you upload, including compliance with Regulation (EU) 2017/745 and, where applicable, Implementing Regulation (EU) 2021/2226 on electronic IFU. Scan & Care provides hosting, publication tools, access controls, versioning, and audit logs but does not review, validate, or certify the content, and is not a medical device manufacturer or authorised representative.

Acceptable Use

- Do not upload unlawful, infringing, misleading, harmful, or malicious content.
- Do not attempt to bypass security, probe or overload the Service, or scrape without permission.
- We may suspend or remove content/accounts that breach these Terms or applicable law, with notice where legally required.

Intellectual Property

You retain ownership of your content. You grant CVP Innovation S.r.l. a non-exclusive, worldwide, royalty-free licence to host, process, and display your content solely to operate and support the Service. All rights in the Service, its software, and trademarks remain with CVP Innovation S.r.l. and its licensors.

Data Protection (GDPR)

For personal data contained in customer content, your organisation is the data controller and CVP Innovation S.r.l. acts as data processor. Processing is governed by our Data Processing Agreement (DPA), incorporated by reference, which describes purposes, technical and organisational measures, sub-processors, international transfers, audits, and breach notifications. Notice-and-Action / Copyright

We operate an electronic notice-and-action mechanism for allegedly illegal or infringing content. Please include:
- Your name and contact details;
- A description of the content and where it is located;
- The legal basis of your notice;
- A good-faith statement of accuracy and authority.

Send notices to info@scanandcare.com. We will acknowledge receipt and act diligently, providing a statement of reasons where required.

Availability, Maintenance, and Support

We apply appropriate security measures, EU hosting, access controls, and backups. Scheduled maintenance may occur with reasonable notice. Any service levels (SLA) or credits apply only if expressly included in your plan or order form.

Modifications to the Service and to these Terms

We may update features or policies. Material changes to these Terms will be notified with reasonable advance notice (e.g., 30 days). Continued use after the effective date constitutes acceptance of the updated Terms.

Suspension and Termination

We may suspend the Service for breaches of these Terms, security risks, legal obligations, or non-payment, giving notice where feasible. Either party may terminate for material breach not cured within 30 days. Upon termination, you may export your content via available tools/APIs; after a retention period, we will delete or irreversibly anonymise content subject to legal retention and backups.

Warranties and Disclaimers

The Service is provided “as is”. We do not warrant that the content you upload is accurate or compliant, nor that the Service will be uninterrupted or error-free, except as expressly stated in any applicable SLA.

Liability

To the maximum extent permitted by law:
(i) indirect or consequential damages are excluded;
(ii) our aggregate liability under these Terms is limited to the fees paid by you in the 12 months preceding the event giving rise to liability (or €0 for free plans).
Nothing limits liability for death/personal injury caused by negligence, fraud, or wilful misconduct.

Indemnification

You will indemnify and hold CVP Innovation S.r.l. harmless from third-party claims arising from your content or your breach of these Terms or applicable MDR/eIFU requirements.

Governing Law and Venue

These Terms are governed by Italian law. Exclusive jurisdiction lies with the Court of Salerno, without prejudice to mandatory provisions of law.
